Term of Service

These Terms of Service (the “Terms”) govern your access to and use of Ajenda (“Ajenda”, “we”, “our”, or “us”) and the services available at ajenda.app and app.ajenda.app (collectively, the “Service”). By creating an account, connecting a Google account, or otherwise using the Service, you agree to these Terms.
1) Eligibility & Accounts
- You must be at least 18 years old and capable of entering into a binding agreement.
- You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
- You must provide accurate information and promptly update it as needed.
2) Service Description
Ajenda connects to your Google Gmail and Calendar to summarize messages and events, surface action items, and help you manage daily work. Features may evolve over time.
3) Google OAuth & Verified App Disclosure
Ajenda uses Google’s OAuth 2.0 for secure authorization. Our Google OAuth consent screen has been reviewed and verified by Google for the scopes we request. You can revoke access at any time in your Google Account permissions.
- Gmail/Calendar data is accessed only to provide the Service features you enable (e.g., summaries, task extraction, follow‑ups).
- We do not sell your data. We do not share Google data with third parties except subprocessors essential to operating the Service (e.g., cloud hosting) and only under appropriate safeguards.
- Tokens and content are encrypted at rest. You control and may disconnect accounts at any time.
4) Subscriptions, Trials, and Billing
- Pricing. Ajenda uses seat‑based pricing tied to connected Google accounts. Unless otherwise stated, the current price is displayed in the app or on the website.
- Free trial. If offered (e.g., 7 days), you will not be charged until the trial ends. At trial end, your subscription renews automatically unless you cancel beforehand.
- Quantity (seats). Your billable quantity equals the number of connected accounts. Adding/removing accounts adjusts your subscription quantity accordingly. If all accounts are removed, we may cancel the subscription.
- Stripe. Payments are processed by Stripe. By subscribing, you authorize recurring charges to your payment method until you cancel.
- Taxes & refunds. Prices exclude taxes unless stated. Except where required by law, payments are non‑refundable.
- Cancellation. You may cancel at any time within the app; cancellation takes effect at the end of your current billing period unless stated otherwise.
5) Acceptable Use
- Do not misuse the Service, attempt to access data without authorization, or interfere with others’ use.
- Do not use Ajenda to violate laws, infringe intellectual property, or transmit harmful or illegal content.
- We may suspend or terminate access for violations.
6) Intellectual Property
The Service, including software, designs, and trademarks, is owned by Ajenda or its licensors. Your use is licensed, not sold. You retain rights to your content.
7) Privacy
Your use of the Service is also governed by our Privacy Policy. Please review it to understand how we collect, use, and protect information.
8) Beta Features
From time to time we may offer experimental or beta features. They are provided “as is,” may change, and may be discontinued at any time.
9) Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR‑FREE.
10) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AJENDA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO AJENDA IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.
11) Termination
You may stop using the Service at any time. We may suspend or terminate your access for cause (e.g., violations, fraud, non‑payment). Upon termination, your right to use the Service ends, but sections that by their nature should survive (e.g., disclaimers, limitations of liability, payment obligations) will survive.
12) Changes to the Service or Terms
We may modify the Service or these Terms. If material changes are made, we will provide notice (e.g., in‑app, email, or website). Continued use after changes means you accept the updated Terms.
13) Governing Law; Disputes
These Terms are governed by the laws of the State of New York, excluding conflict‑of‑laws rules. The exclusive venue for disputes is the state or federal courts located in New York, New York, and you consent to their jurisdiction.
